The Corporate Counsel (Lawyer) will provide legal guidance to support the company’s business objectives, ensuring compliance with applicable laws and regulations while mitigating risks. This role will involve working closely with internal stakeholders across departments, including operations, human resources, marketing, and finance, to provide strategic legal advice and support corporate initiatives.Key ResponsibilitiesContract Management: Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, service contracts, and partnership agreements, ensuring alignment with company goals and legal requirements.Compliance and Risk Management: Advise on regulatory compliance, including consumer protection laws, data privacy, and employment regulations. Develop and implement policies to mitigate legal risks.Corporate Governance: Support corporate governance activities, including drafting corporate resolutions, maintaining corporate records, and advising on board and shareholder matters.Litigation Support: Manage and coordinate with external counsel on litigation matters, including dispute resolution, intellectual property issues, and employment disputes.Legal Advisory: Provide proactive legal advice to senior management and cross-functional teams on business transactions, mergers and acquisitions, and other strategic initiatives.Policy Development: Develop and update internal policies and procedures to ensure compliance with federal, state, and local regulations.Training and Education: Conduct training sessions for employees on legal topics such as compliance, ethics, and contract obligations.Intellectual Property: Oversee the protection of Leaf Home’s intellectual property, including trademarks and proprietary processes.Data Privacy: Ensure compliance with data protection laws, including GDPR, CCPA, and other relevant regulations, particularly in relation to customer and employee data.
QualificationsEducation: Juris Doctor (JD) degree from an accredited law school.Licensure: Active membership in good standing with a state bar association.Experience: Minimum of 3-5 years of legal experience, preferably in a corporate legal department or law firm with a focus on commercial law, contracts, or corporate governance.Skills:Strong knowledge of contract law, corporate law, and regulatory compliance.Exceptional drafting, negotiation, and communication skills.Ability to work independently and collaboratively in a fast-paced environment.Strong analytical and problem-solving skills with keen attention to detail.Proficiency in legal research tools (e.g., Westlaw, LexisNexis).Preferred Qualifications:Experience in the home improvement, consumer goods, or retail industry.Familiarity with data privacy regulations (e.g., GDPR, CCPA).Prior experience with mergers and acquisitions or intellectual property law.Personal AttributesProactive and solution-oriented with a strong sense of ethics and integrity.Ability to build relationships and work effectively with cross-functional teams.Adaptable to changing priorities and able to manage multiple projects simultaneously.Strong business acumen with an understanding of how legal advice impacts operational goals.
